The Challenge

The US Headquarters of a Medical Device Co. had a hiring freeze in place. At the same time, the co. was undergoing numerous projects that pulled the small legal department, particularly the General Counsel in many directions. One project was an international merger. The General Counsel was already working double time, working with outside counsel would have strained the cash flow in too big of a way and no other lawyer had the transactional expertise.

The Solution

: Interim ESQ staffed an experienced transactional lawyer who had a particular expertise in mergers and acquisitions. This person had more experience than the General Counsel and direct reported to the General Counsel while working directly with the business unit.

The merger was successful. The Challenge

A Defense Co. was faced with unexpected litigation encompassing a significant document review of approximately 2.5 million documents. If the Chief Legal Officer would have used their outside counsel to perform discovery and document review on this litigation it would have exceeded the internal legal spend by triple.
